The offering is only available to “accredited investors” as defined under Rule 501(a) of the Securities Act and each Investor
will be required to provide the Fund Manager with such information as the Fund Manager shall require to permit the Fund
Manager to verify the Investor’s status as an accredited investor. Each Investor must acquire at least one whole Unit for a
purchase price of $200,000 per Unit (and integral multiple thereof), although the Fund Manager may permit the purchase of
fractional Units in its sole discretion. There is no minimum amount of Units that the Fund must accept to close on any
subscription. The Fund shall remain open for such period of time as the Fund Manager determines in its sole discretion. The
Fund began admitting investors on October 1, 2011. The Fund Manager may accept or reject subscriptions for Units, in whole or
in part, in the Fund Manager’s sole discretion
